This website, gygeslabs.com (the "Site"), is operated by GYGES LABS PTE. LTD. (UEN 202425635C), a company incorporated in Singapore. Throughout these Terms of Service (the "Terms"), "we", "us" and "our" refer to GYGES LABS PTE. LTD.

These Terms govern your access to and use of the Site, including the information, content, materials and features made available through it. By accessing or using the Site, you agree to these Terms and to any policies expressly incorporated by reference. If you do not agree, you must not use the Site.

These Terms apply to all Site users, including visitors, prospective customers and persons who submit an enquiry or consultation request.

SECTION 1 — NATURE OF THIS SITE

The Site is an informational and corporate website. We do not sell products or accept orders or payments directly through the Site.

The Site may provide information about products, applications and services, or link to online stores, mobile application stores and other websites or services. Any purchase, subscription, download, account registration, warranty or support relationship is governed by the terms applicable to the relevant product, application, store or service and is entered into with the legal entity identified in the applicable terms or transaction materials.

SECTION 2 — ELIGIBILITY

By using the Site, you represent that you have the legal capacity to agree to these Terms. If you are under the age of majority in your jurisdiction, you may use the Site only with the involvement and consent of a parent or legal guardian.

You may not use the Site for any illegal or unauthorised purpose or in violation of any applicable law.

SECTION 3 — PERMITTED USE

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable and revocable permission to access and view the Site for your personal or internal business purposes.

You may not reproduce, duplicate, copy, sell, resell, republish, distribute or otherwise exploit any portion of the Site or its content without the prior written permission of the applicable rights holder, except as permitted by applicable law.

SECTION 4 — PROHIBITED USES

You must not use the Site or its content:

(a) for any unlawful purpose;

(b) to solicit or facilitate unlawful acts;

(c) to infringe or violate intellectual property, privacy or other rights;

(d) to harass, threaten, abuse, defame or unlawfully discriminate against any person;

(e) to submit false, misleading, fraudulent or deceptive information;

(f) to upload or transmit viruses, malicious code or other harmful material;

(g) to collect, track or process personal information without lawful authority;

(h) to spam, phish, pharm, pretext, scrape or crawl the Site without permission, except for indexing by generally available search engines in accordance with our technical instructions;

(i) to interfere with, disrupt or circumvent the operation or security of the Site; or

(j) in any manner that could damage, disable, overburden or impair the Site or another person's use of it.

We may restrict or terminate access to the Site where reasonably necessary to address a violation of these Terms, protect the Site or its users, or comply with law.

SECTION 5 — INTELLECTUAL PROPERTY

The Site and the content and brand identifiers displayed on it may be protected by copyright, trademark and other intellectual property laws. Rights in such materials belong to us or the applicable rights holders.

"GYGES LABS", "VOCCI" and "PROACTIVA", together with their associated logos, are trademarks of GYGES LABS PTE. LTD. Other trademarks, service marks, trade names and logos displayed on the Site are the property of their respective owners.

Nothing in these Terms grants you any licence or right to use any trademark, logo, content or other intellectual property except with the prior written permission of the applicable rights holder or as otherwise permitted by law.

SECTION 6 — ACCURACY AND COMPLETENESS OF INFORMATION

The Site is provided for general informational purposes. Although we seek to keep information accurate and current, we do not guarantee that all Site content is complete, accurate or up to date.

The Site may contain historical information, preliminary descriptions or materials supplied by third parties. Product descriptions, specifications, availability and indicative pricing may change without notice and do not constitute an offer to sell through the Site.

You should verify material information through the relevant product, application, store or service before making a purchase or other decision.

SECTION 7 — ENQUIRIES AND CONSULTATION REQUESTS

The Site allows you to submit an enquiry or request a consultation concerning artificial intelligence technology and related services.

Submitting an enquiry does not by itself create an advisory, consulting, professional, fiduciary or contractual relationship between you and us. Any consulting engagement will be governed by a separate written agreement entered into by the applicable parties.

Site information and any preliminary response to an enquiry are provided for general information only and do not constitute legal, financial, regulatory or other professional advice.

Please do not submit confidential, proprietary, legally privileged or sensitive information through the Site's enquiry form. Information submitted through the form is not subject to a duty of confidentiality unless we have expressly agreed otherwise in writing. Personal data submitted through the form is handled as described in our Privacy Policy.

We are not obliged to accept, respond to or act upon an enquiry.

SECTION 8 — UNSOLICITED FEEDBACK AND IDEAS

If you voluntarily send us suggestions, ideas or feedback that are not part of a confidential consultation request (collectively, "Feedback"), you grant us a non-exclusive, worldwide, perpetual, irrevocable, transferable, sublicensable and royalty-free licence to use, reproduce, modify, adapt, publish and otherwise exploit the Feedback for our business purposes, including improving the Site, products and services.

We are not obliged to keep Feedback confidential, pay compensation for it or respond to it. You represent that you have the right to provide the Feedback and that our permitted use of it will not infringe the rights of another person.

This Section does not change our obligations concerning personal data under our Privacy Policy or information covered by a separate written confidentiality agreement.

SECTION 9 — THIRD-PARTY LINKS AND SERVICES

The Site may contain links to websites, online stores, mobile application stores, products or services operated by other persons. We do not control, endorse or assume responsibility for third-party content, products, services, terms or privacy practices merely because the Site links to or refers to them.

To the maximum extent permitted by law, we are not responsible for loss or damage arising from your dealings with a third party. You should review the applicable third-party terms and policies before entering into a transaction or providing information. Questions concerning a third-party transaction should be directed to the entity identified in the applicable transaction materials.

SECTION 11 — DISCLAIMER OF WARRANTIES

To the maximum extent permitted by applicable law, the Site and its content are provided "as is" and "as available". We do not warrant that the Site will be uninterrupted, timely, secure or error-free, or that Site content will be accurate, complete, reliable or suitable for a particular purpose.

To the maximum extent permitted by applicable law, we disclaim all express and implied warranties and conditions relating to the Site, including warranties or conditions of merchantability, satisfactory quality, fitness for a particular purpose, title and non-infringement.

SECTION 12 — LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, GYGES LABS PTE. LTD. and its directors, officers, employees and agents will not be liable for any indirect, incidental, special, exemplary, punitive or consequential loss or damage arising out of or in connection with the Site or these Terms, including loss of profits, revenue, business opportunities or data, even if advised of the possibility of such loss or damage.

Subject to the paragraph below, our total aggregate liability arising out of or in connection with the Site or these Terms will not exceed S$100.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, wilful misconduct, or any other liability that cannot lawfully be excluded or limited.

This Section applies only to the Site and these Terms. It does not govern products or services subject to separate product-specific, service-specific or transaction-specific terms.

SECTION 13 — INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify GYGES LABS PTE. LTD. and its directors, officers, employees and agents against third-party claims, damages and reasonable legal costs to the extent arising from your unlawful use of the Site, your wilful or material breach of these Terms, or your infringement of another person's rights through content you submit.

You are not required to indemnify us for loss caused by our negligence, breach of these Terms or wilful misconduct.

SECTION 14 — CHANGES TO THE SITE AND THESE TERMS

We may modify, suspend or discontinue all or part of the Site where reasonably necessary for operational, security, legal or business reasons.

We may update these Terms from time to time. Updated Terms will be posted on this page with a revised effective or last-updated date. Material changes will apply prospectively from their stated effective date, and we will provide any additional notice required by applicable law. Your continued use of the Site after the effective date of updated Terms constitutes acceptance of those updated Terms.

SECTION 15 — TERMINATION

These Terms remain effective while you use the Site. You may terminate them at any time by ceasing to use the Site.

We may restrict or terminate your access to the Site where reasonably necessary because of a violation of these Terms, a security risk, potential harm to another person, or a legal or regulatory requirement.

Provisions that by their nature should survive termination will survive, including provisions concerning intellectual property, Feedback, disclaimers, limitation of liability, indemnification, governing law and dispute resolution.

SECTION 16 — SEVERABILITY

If any provision of these Terms is held to be unlawful, void or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed to the minimum extent necessary. The remaining provisions will remain in effect.

SECTION 17 — WAIVER AND ENTIRE AGREEMENT

Our failure to exercise or enforce a right or provision of these Terms does not constitute a waiver of that right or provision.

These Terms and the policies expressly incorporated by reference constitute the entire agreement between you and us concerning your use of the Site. They do not replace or modify any separate written agreement governing a product, service, transaction or consulting engagement.

SECTION 18 — GOVERNING LAW AND JURISDICTION

These Terms are governed by the laws of Singapore, without regard to conflict-of-law principles.

Subject to any mandatory rights or remedies available to you under applicable law, the courts of Singapore will have exclusive jurisdiction over disputes arising out of or in connection with these Terms or the Site. Nothing in these Terms deprives a consumer of mandatory protections or access to a court that cannot lawfully be excluded by agreement.
